On April 13, 2015, Roz Campisi Beadle, a director of New Concept Energy, Inc. (the “Company” or the “Issuer”) since December 2003, passed away. Her passing created a vacancy in the five-person Board of Directors of the Company. The Board of Directors of the Company is currently considering whether to reduce the number of members of the Board of Directors from five to four, as well as other options.
