As previously reported on the Current Report on Form 8-K of Energy Transfer Partners, L.P. (“ETP”) filed with the Securities and Exchange Commission on April 30, 2015, in connection with ETP’s acquisition of Regency Energy Partners LP (“Regency”), ETP’s wholly owned subsidiary, Panhandle Eastern Pipe Line Company, LP (“Panhandle”), agreed to fully and unconditionally guarantee (the “Panhandle Guarantee”) all of the payment obligations of Regency and Regency Energy Finance Corp. under their $600.0 million in aggregate principal amount of 4.500% Senior Notes due 2023 (the “senior notes”). On May 28, 2015, ETP entered into a supplemental indenture relating to the senior notes pursuant to which it has agreed to become a co-obligor with respect to the payment obligations thereunder.
