(1) HFB Enterprises, LLC (the "LLC") acquired the shares for estate planning purposes by part-gift and part-sale in the amount of $500,000 from the Howard and Fran Berger Family Trust. Dr. Berger, the current president of the issuer, and Mrs. Berger are the managers of the LLC and the sole member of the LLC is an irrevocable trust, the beneficiaries of which are Dr. Berger and Mrs. Berger's children and a third individual, who is a family friend.
