Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On April 12, 2007, the Board of Directors of the Company amended its Corporate Governance Guidelines to permit a director to serve as Lead Director for two consecutive terms.
In addition, the Board of Directors amended the Company's By-Laws 6 and 7 to require shareholders to provide a notarized notice when submitting director nominations or business for consideration by the Company's shareholders.
