Duke Realty Corporation (the “Company”) hosted its first quarter 2005 earnings conference call on April 28, 2005, during which the Company presented information regarding its first quarter 2005 earnings.  Pursuant to Regulation FD and the requirements of Item 7.01 of Form 8-K, this report is being filed for the purpose of furnishing to the Securities and Exchange Commission the First Quarter 2005 Earnings Conference Call Transcript, a copy of which is attached hereto as Exhibit 99.1.
