Explanatory Note

 

On August 6, 2008, Primoris Services Corporation (“we” or “our”) filed a Current Report on Form 8-K (the “Original Form 8-K”).  Attached as Exhibit 10.23 to the Original Form 8-K was a copy of our Loan and Security Agreement (the “Agreement”), dated as of March 22, 2007, with LaSalle Bank National Association.  The schedules to the Agreement were inadvertently not included with the Agreement, as filed with the Original Form 8-K.  We are filing this Amendment No. 2 on Form 8-K/A solely for the purpose of adding the schedules to the Agreement.

 

A complete, executed copy of the Agreement, including all schedules, is being filed as Exhibit 10.23 to this Amendment No. 2.  For convenience purposes, we are also filing the First Amendment to the Agreement (Exhibit 10.24 to this Amendment No. 2) and the Second Amendment to the Agreement (Exhibit 10.25 to this Amendment No. 2) that were included in the Original Form 8-K.
