Item 12. Results of Operations and Financial Condition


On February 5, 2004, Concord Camera Corp. (the "Company") issued a press release
announcing the Company's financial results for the quarter and six months ended
December 27, 2003. A copy of the Company's press release is attached hereto as
Exhibit 99.

The press release includes the Company's guidance with respect to "net income or
loss before non-cash variable stock option expense or income," a non-GAAP
number. Because net income or loss computed in accordance with GAAP requires the
inclusion of non-cash variable stock option expense or income which is dependent
on the market price of the Company's common stock rather than directly linked to
the Company's operating performance, the Company uses net income or loss before
non-cash variable stock option expense or income to monitor its operating
performance and believes that the presentation of its guidance in this manner
provides useful information to investors regarding the Company's anticipated
financial condition and results of operations.

The information in this Current Report on Form 8-K and the exhibit attached
hereto shall not be deemed "filed" for purposes of Section 18 of the Securities
Exchange Act of 1934 (the "Exchange Act") or otherwise subject to the
