ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On January 23, 2008, Mid Penn Bancorp, Inc. ("Corporation") issued a press
release discussing its financial results for the fourth quarter and for the year
2007. Attached hereto as Exhibit 99.1 is a copy of the Corporation's press
release dated January 23, 2008.
