Peace Arch Entertainment Completes Acquisition of Trinity Home Entertainment
Purchase Expands Peace Archs Direct Distribution Operation Into U.S. DVD Market
Toronto July 5, 2007 -- Peace Arch Entertainment Group Inc. (AMEX:PAE - News) (TSX:PAE.TO - News), an innovative film and television entertainment company, announced today that it has completed the acquisition of the Westlake Village, California based DVD distributor Trinity Home Entertainment, LLC for approximately USD$10.0 million inclusive of acquisition costs. Under the terms of the deal, Peace Arch acquired all of the shares of Trinity for approximately USD$9.5 million in cash plus USD$500,000 of Peace Arch common stock.
Trinity, which had un-audited net revenues of approximately USD$19 million and net income of approximately USD$2.5 million for the year ending December 31, 2006, is one of the leading independent distributors of budget and first-run feature films in the United States. The company has well-established distribution relationships with the Army and Air Force Exchange Service, along with major retailers such as Wal-Mart Stores and Trans World Entertainment, two of the largest video retailers in the United States. Genius Entertainment and Hearst Entertainment are among Trinitys key content suppliers. The companys extensive library includes such genre classics as Stephen Kings Maximum Overdrive, Raw Deal starring Arnold Schwarzenegger and The Octagon featuring Chuck Norris.
Peace Arch President John Flock said, The acquisition of Trinity furthers Peace Archs strategy of building its in-house distribution capabilities while continuing to aggregate highly marketable film and television content. By merging Trinitys U.S. operation with Peace Archs strong home entertainment division in Canada, Peace Arch now has a platform upon which to build one of the leading independent distribution companies in North America. The successful conclusion of this purchase is the latest example of Peace Arch's high-growth business model focused on organic growth combined with the acquisition of profitable content and distribution assets to create a fully integrated entertainment company.
Trinity CEO Phillip Knowles, who founded Trinity, will remain with the company as President and head its U.S. DVD distribution operations, reporting to Peace Arch Home Entertainment President Berry Meyerowitz.
Knowles said, We are very pleased to become part of the growing Peace Arch Entertainment Group and combine our U.S. distribution expertise with their worldwide sales force and extensive library of desirable properties. With Peace Archs seasoned management and financial strength, we believe we can now accelerate the growth of our business to become one of the top independent distributors in the United States.
Peace Arch recently closed a private placement of common shares for gross proceeds of CAD$33 million. Certain proceeds from the offering are being used to acquire Trinity as well as Dufferin Gate Productions Inc., Toronto's foremost provider of production services and facilities.
