We
own and operate upscale adult nightclubs serving primarily
businessmen and
professionals. Our nightclubs offer live adult entertainment,
restaurant and bar operations. We own and operate ten adult
nightclubs
under the name "Rick's Cabaret" and "XTC" in Houston, Austin,
San Antonio,
and Fort Worth, Texas; Minneapolis, Minnesota; and New York,
New
York. We also operate four upscale venues that cater especially
to urban professionals, businessmen and professional athletes
called “Club
Onyx” in Houston, San Antonio, Texas and Charlotte, North
Carolina. No sexual contact is permitted at any of our
locations.

have the following Internet
activities:

We
currently own two adult Internet membership Web sites at
www.couplestouch.com and
www.xxxpassword.com. We acquire
www.xxxpassword.com site content from
wholesalers.

b)
|
We
operate an online auction site www.naughtybids.com. This
site provides our customers with the opportunity to purchase adult
products and services in an auction format. We earn revenues by
charging fees for each transaction conducted on the automated
site.
