(1) The option is fully exercisable as of November 30, 2007, the date that Pinnacle Financial Partners, Inc. merged with Mid-America Bancshares, Inc. Prior to the consummation of the merger, the option reflected the right to buy shares of Mid-America common stock and was exercisable in 10 equal installments beginning on the one year anniversary date of the September 1, 2006 grant date.
