Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 30, 2007, Telecom Communications, Inc. (the “Company”) accepted the resignation of Tim T. Chen as the Company’s Chief Executive Officer, President and as a member of the Board of Directors (the “Board”). His resignation was not the result of any disagreement with us on any matter relating to the Company’s operations, policies or practices.

On April 30, 2007, the Board appointed Alan R. Lun to replace Mr. Chen as the Company’s Chief Executive Officer, President and as a member of the Board.
 
Mr. Lun is currently the Chief Executive Officer of MyStarU.com, a wholly-owned subsidiary of the Company, a position he has held since March 2006. From March 2001 through February 2006, Mr. Lun was the division manager of Guangdong Country Garden Property Management Co. Ltd., a property management company in China.
