Item 3.01 Notice of Failure to Satisfy a Continued Listing Rule or Standard

On November 21, 2007, Multiband Corporation received a NASDAQ staff determination letter indicating that the Company fails to comply with NASDAQ Marketplace Rule 4310c3 and that the NASDAQ staff is reviewing Multiband’s securities for continued listing on the NASDAQ Capital Market. The Company issued a press release on the matter on November 23, 2007, which is attached as an exhibit hereto.
