Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officer; Compensatory Arrangements of Certain Officers.
 
Pursuant to the non-renewal of the Executive Employment Agreement between David Bailey and the Company dated November 27, 2007, Mr. Bailey’s obligation to perform duties associated with his position as an executive officer of the Company ceased on August 27, 2010.
