Explanatory Note
This Form 8-K/A is being filed solely to correct the date that Mr. Bupp terminated a pre-arranged stock trading plan, which was incorrect in the original Form 8-K filed on June 9, 2011.
Item 8.01. Other Events.
Neoprobe Corporation (the “Company”) announced on June 1, 2011, that David C. Bupp, the Company's former Chief Executive Officer, and currently a member of the Company's Board of Directors, adopted a pre-arranged stock trading plan (the "Plan") pursuant to guidelines specified under Rule 10b5-1 of the Securities Exchange Act of 1934. On June 8, 2011, Mr. Bupp terminated the Plan. Prior to the Plan’s termination, Mr. Bupp sold 700,000 shares of the Company’s common stock under the terms of the Plan.
