Item 5.07 Submission of Matters to a Vote of Security Holders.
On December 16, 2011, Senesco Technologies, Inc. (the “Company”) held its Annual Meeting of Stockholders (the “Meeting”). The matters voted on by stockholders at the Meeting included (1) a proposal to elect ten (10) Directors to serve until the next Annual Meeting of Stockholders and until their respective successors shall have been duly elected and qualified, (2) a proposal to increase the total number of authorized shares of common stock, $0.01 par value per share, of the Company from 250,000,000 to 350,000,000 and (3) a proposal to ratify the appointment of McGladrey & Pullen, LLP as the Company’s independent registered public accounting firm for the fiscal year ending June 30, 2012. There were represented at the Meeting, either in person or by proxy, 68,200,283 shares of the Company’s common stock out of a total number of 80,777,097 shares of the Company’s common stock outstanding and entitled to vote at the Meeting. The foregoing votes reflect that (i) the nominees of the Board of Directors, (ii) the approval of the increase in the total number of authorized shares of common stock, $0.01 par value per share, of the Company from 250,000,000 to 350,000,000, and (iii) the ratification of the appointment of the Company’s independent public accounting firm for the fiscal year ending June 30, 2012, having received the votes listed above, being a plurality, majority or requisite majority of the votes cast, were duly passed by the stockholders of the Company.
