Remarks: The amount of shares beneficially owned set forth in Table I reflect pre-reverse stock split numbers. Mr. Zhou made transfers of his shares of common stock which inadvertently were not filed on a Form 4. In addition, the Form 4 that was filed by Mr. Zhou on January 13, 2009 incorrectly stated the date and number of shares disposed by him as of the date of the filing. As disclosed in Mr. Zhou's Form 4 filed on July 1, 2008, Mr. Zhou received 7,500,000 of Sino Clean Energy Inc.'s common stock as consideration for the sale of his 20% ownership interest in Suo'ang New Energy . Over the period from September 2008 through August 2011, Mr. Zhou transferred, in private transactions as gifts, for no consideration, 6,747,400 of these shares and continued to own 752,600 shares of common stock of the Company. On May 7, 2010, the Company effected a 1-for-10 reverse stock split, as a result of which, Mr. Zhou currently owns 75,260 shares of the Company's common stock.
