On January 21, 2015, Navidea Biopharmaceuticals, Inc. (the “Company”) announced that it had signed a non-binding letter of intent for a $2.5 million financing of its Macrophage Therapeutics business unit, which will be organized as a new subsidiary of the Company. The proposed transaction is described in a press release issued by the Company on January 21, 2015, a copy of which is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
