Item 1.01 | Entry into a Material Definitive Agreement. |
On January 18, 2016, in connection with the Agreement and Plan of Merger executed on that same day with Progressive Waste Solutions Ltd., a corporation organized under the laws of Ontario (“Progressive Waste”), Waste Connections, Inc., a Delaware corporation (the “Company”), entered into a Consent (the “Consent”) with Bank of America, N.A. and certain other financial institutions party to that certain Revolving Credit and Term Loan Agreement, dated January 26, 2015, by and among (a) the Company and each subsidiary of the Company from time to time party thereto, (b) each of the banks and other lending institutions from time to time party thereto, and (c) Bank of America, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer (the “Credit Agreement”), whereby the lenders provided their consent to (i) the merger and the change of control of the Company resulting from the consummation of the merger and (ii) the joinder, upon consummation of the merger, of Progressive Waste and certain of its subsidiaries as borrowers under the Credit Agreement.
