Item 7.01. Regulation FD Disclosure.

On November 22, 2004, Ultralife Batteries, Inc. (the "Company") announced
the receipt of an order valued at approximately $2.2 million from the U. S.
Defense Department for its BA-5372/U military battery. The Company's press
release is attached as Exhibit 99.1 to this Form 8-K, and the information set
forth therein is furnished under item 7.01.
