Item 7.01. Regulation FD Disclosure.

Ultralife  Batteries,  Inc. (the "Company")  through its McDowell Research unit,
has been awarded a contract valued at approximately $9 million from a major U.S.
defense   contractor  for  the  production  and  delivery  of  Integration  Kits
supporting  military   communications   systems  for  installation  on  military
vehicles.  Deliveries are expected to begin this quarter and be completed in the
second quarter of 2007.


The  Company's  press  release is attached as Exhibit 99.1 to this Form 8-K, and
the information set forth therein is furnished under Item 7.01.
