(2) | Deferred Common Shares of Beneficial Interest ("Deferred Shares") are exchangeable on a 1-for-1 basis into common shares of beneficial interest, par value $0.01 per share, of LaSalle Hotel Properties ("Common Shares"). Deferred Shares are received as consideration for services rendered as a member of the Board of Trustees of LaSalle Hotel Properties. Holders of Deferred Shares receive additional Deferred Shares in an amount equal to any dividends paid on the Common Shares exchangeable for the outstanding Deferred Shares, divided by the average closing price of the Common Shares on the NYSE during the 10 trading days preceding the first day on which the Common Shares begin trading without entitlement to the applicable dividend. The amount reported includes 358 Deferred Shares received in lieu of dividends paid on the Common Shares. |
