(1) | The Reporting Person received an aggregate of 300,000 restricted stock units, which, if eligible, shall vest in three equal annual installments, the first of which will vest on the third business day following the release of the Company's fiscal 2010 financial results, and the second and third installments will vest on December 31, 2011 and December 31, 2012 respectively; provided that Reporting Person remains an employee of the Company on each vesting date. All or a portion of the restricted stock units may become eligible for vesting based upon the achievement of certain financial performance targets related to the earn-out feature described in the Agreement and Plan of Merger to acquire EyeWonder, Inc., a copy of which was filed with a Current Report on Form 8-K on December 21, 2009. Restricted stock units that do not become eligible are forfeited. Each restricted stock unit represents a contingent right to receive one (1) share of the Company's common stock. |
