(1) These Shares (as defined below) are held by Novatus Holding PTE. Ltd., a private limited company organized under the laws of Singapore ("Novatus "). "Shares" are shares of the Issuer's common stock, par value $0.0001 per share.
(2) Novatus disclaims beneficial ownership of these Shares except to the extent of its pecuniary interest therein.
 
Remarks:
On June 7, 2013, Mark Global Corporation, a company organized under the laws of the British Virgin Islands ("Mark Global"), transferred 5,000,000 Shares held directly by Mark Global to Novatus for no consideration. As a result of such transfer, Mark Global ceased to have beneficial ownership (as determined under Section 13(d) of the Securities Exchange Act of 1934, as amended (the "Exchange Act")) of any Shares and Novatus acquired beneficial ownership (as determined under Section 13(d) of the Exchange Act) of Shares greater than 10%.  Kenges Rakishev, a citizen of the Republic of Kazakhstan ("Mr. Rakishev"), is the sole shareholder of each of Mark Global and Novatus and is a director of the Issuer.  Consequently, Mr. Rakishev has voting control and investment discretion over the Shares held directly by each of Mark Global and Novatus.  As a result of the foregoing, Mr. Rakishev may be deemed to have beneficial ownership (as determined under Section 13(d) of the Exchange Act) of the Shares held directly by each of Mark Global and Novatus.  Accordingly, such transfer of 5,000,000 Shares by Mark Global to Novatus was exempt from Section 16 of the Exchange Act pursuant to Rule 16a-13 promulgated thereunder.  Mr. Rakishev will now serve as the representative of Novatus on the Board.
