Item 8.01 Other Events.
On March 4, 2005, the Federal Trade Commission (the “FTC”) issued a press release announcing that it had filed a motion in U.S. District Court for the District of Columbia to require Blockbuster Inc. to comply with the statutory rules of the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended. The FTC did not ask the court to rule on whether Blockbuster’s proposed acquisition of Hollywood Entertainment Corporation would violate antitrust laws. A copy of the FTC’s press release is attached hereto as Exhibit 99.1.
