Item 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
Compensation of Directors
On November 4, 2005, the Board of Directors of the Company (the Board) approved the creation of a Technology and Operations Committee of the Board (the Committee). The Committee will initially be composed of two non-management members of the Board. Each member of the Committee will receive a fee of $3,500 per year, and the chairperson of the Committee will receive an additional fee of $12,000 per year. These fees will be in addition to the fees paid to these individuals as members of the Board and other Board committees.
