Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Michael D. Weiner resigned as a Director of the Quality Distribution, Inc. (the “Company”) effective September 15, 2006. Mr. Weiner’s decision to resign was not a result of a disagreement regarding the Company’s operations, policies or practices.

The Board of Directors of the Company filled the vacancy created by Mr. Weiner’s resignation effective on September 15, 2006 by appointing John J. Suydam. Mr. Suydam (46) joined Apollo Management LP (“Apollo”) in September 2006 as its Chief Legal and Administrative Officer. From 2002 through September 2006, Mr. Suydam was a partner at O’Melveny & Myers LLP, where he served as head of Mergers & Acquisitions and co-head of the Corporate Department. Prior to that, Mr. Suydam served as Chairman of the law firm O’Sullivan, LLP which specialized in representing private equity investors. Mr. Suydam serves on the Board of Directors of the Big Apple Circus. Mr. Suydam received his J.D. from New York University and graduated magna cum laude with a B.A. in History from the State University of New York at Albany.

In addition to being the Company’s largest shareholder, Apollo and its affiliates hold certain registration and other rights, which are the Company’s obligations, and are further described in the Proxy Statement for the annual meeting of shareholders on May 18, 2006, filed April 18, 2006, which description is incorporated herein by reference.
