Item 1.01 | Entry Into a Material Definitive Agreement. |
On August 27, 2009, Blockbuster Inc. (Company) and Viacom Inc. (Viacom) entered into Amendment No. 2 (the Amendment) to the Amended and Restated Initial Public Offering and Split-Off Agreement dated as of June 18, 2004 (the IPO and Split-Off Agreement) (all capitalized terms used but not defined herein shall have the meanings given to them in the Amendment or the IPO and Split-Off Agreement, as applicable). In connection with a reduction in Viacoms exposure to the Companys lease obligations and pursuant to the terms of the IPO and Split-Off Agreement, the face amounts of the Letters of Credit required to be provided by the Company for the benefit of Viacom, which are collateralized at 105% of the face amounts, were reduced from $75 million to approximately $25 million.
