PART III — NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR or the transition report or portion thereof, could not be filed within the prescribed time period.

The Company’s Quarterly Report on Form 10-Q (the “Form 10-Q”) for the quarter ended September 30, 2009 cannot be filed within the prescribed time period because the Company requires additional time for compilation and review to insure adequate disclosure of certain information required to be included in the Form 10-Q. The Company has concluded the five day extension will allow it to avoid unreasonable effort and expense in completing the Form 10-Q. The Company’s Form 10-Q will be filed on or before the 5th calendar day following the prescribed due date.

Third quarter 2009 results of operations will be materially below third quarter 2008 results of operations due to a deterioration of oilfield fundamentals and a weaker business cycle. However, due to recent changes in key accounting personnel, the pending stockholder vote (concluded and announced at the Special Meeting of Stockholders held on November 9, 2009) on certain items related to the Company’s capital structure, the outcome of which impacted the accounting treatment of certain balance sheet items in the third quarter, and the finalization of the Company’s third quarter income statement, a reasonable estimate of the results of operations cannot be made at this time.
