This Tender Offer Statement and Schedule 13E-3 Transaction Statement on Schedule TO (as amended from time to time, this “Schedule TO”) relates to the offer by CONSOL Energy Inc., a Delaware corporation (“CONSOL”), to purchase all outstanding shares of common stock, par value $0.01 per share (the “Shares”), of CNX Gas Corporation, a Delaware corporation (“CNX Gas”), not owned by CONSOL, upon the terms and subject to the conditions set forth in the Offer to Purchase dated April 28, 2010 (the “Offer to Purchase”) and in the related letter of transmittal (which, together with any amendments or supplements thereto, collectively constitute the “Offer”).
