Item 2.02 Results of Operations

On October 20, 2011, Standard Financial Corp. (the “Company”) issued a press release reporting its financial results for the three and twelve months ended September 30, 2011. A copy of the press release is attached as Exhibit 99.1 to this report and is being furnished to the SEC and shall not be deemed “filed” for any purpose.

 

Item 8.01 Other Events

The Company announced on October 20, 2011, that the Company’s Board of Directors declared a quarterly cash dividend of $.045 per share of the Company’s common stock. The dividend will be payable to stockholders of record as of November 2, 1011 and will paid on November 15, 2011. In addition, the Company announced that the Board of Directors has authorized the repurchase of up to 347,000 shares, or approximately 10%, of the Company’s outstanding common stock. The stock repurchase program may be carried out through open market purchases, block trades, negotiated private transactions and pursuant to a trading plan that will be adopted in accordance with Rule 10b5-1 of the SEC’s rules. The stock will be repurchased on an ongoing basis and will be subject to the availability of stock, general market conditions, the trading price of the stock, alternative uses for capital and the Company’s financial performance.
