Item 1.01 | Entry into a Material Definitive Agreement. |
On February 7, 2012, Regency Centers Corporation (the Company) and Regency Centers, L.P. (the Operating Partnership) executed and delivered an underwriting agreement (the Underwriting Agreement), by and among the Company, the Operating Partnership and Merrill Lynch, Pierce, Fenner & Smith Incorporated and Wells Fargo Securities, LLC as representatives of the several Underwriters named in Exhibit A thereto (the Underwriters), relating to the issue and sale by the Company of a total of 10,000,000 shares of the Companys 6.625% Series 6 Cumulative Redeemable Preferred Stock, par value $0.01 per share (the Series 6 Preferred Shares). The issue and sale of the Series 6 Preferred Shares is expected to settle on February 16, 2012. Under the terms of the Underwriting Agreement, the Company and the Operating Partnership have agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act of 1933, as amended (the Securities Act), or to contribute payments that the Underwriters may be required to make because of any of those liabilities. The Underwriting Agreement contains customary representations and covenants.
The offering of the Series 6 Preferred Shares was registered under the Securities Act pursuant to a registration statement on Form S-3 (Registration No. 333-174535) filed with the Securities and Exchange Commission (the Commission) on May 26, 2011. The terms of the Series 6 Preferred Shares are described in the Companys prospectus dated May 26, 2011, as supplemented by a prospectus supplement dated February 7, 2012.

In connection with the filing of the Underwriting Agreement, the Company and the Operating Partnership are filing on Exhibits 5.2 and 8.2 to this Current Report on Form 8-K the opinions of their counsel.
