On September 11, 2012, Lawrence S. Bacow resigned as a Director of Boston Properties, Inc. (the “Company”) to devote more time to his other interests. Mr. Bacow has confirmed to the Company’s Board of Directors that his resignation was not due to a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
