Explanatory Note

On September 11, 2012, CONSOL Energy Inc. (the “Company”) filed a Form 8-K (the “Original Form 8-K”) reporting in Item 1.04 that on September 5, 2012, CONSOL Pennsylvania Coal Company, LLC, a subsidiary of the Company and the operator of the Company’s Bailey Mine located in Greene County, Pennsylvania, received an imminent danger order (the “Order”) from the Mine Safety and Health Administration (“MSHA”) under Section 107(a) of the Federal Mine Safety and Health Act of 1977.

The Company is filing this Form 8-K/A to amend Item 1.04 of the Original Form 8-K to provide additional context to the disclosure provided in the Original Form 8-K relating to the Order. Except for the additional information provided below, this Form 8-K/A does not modify or update the disclosures in Item 1.04 of the Original Form 8-K, which is incorporated herein by reference.

 

Item 1.04 Mine Safety – Reporting of Shutdowns and Patterns of Violations.

After further review by MSHA, the Order was vacated on September 19, 2012.
