Item 1.01 Entry Into a Material Definitive Agreement.

On October 4, 2012, Allison Transmission Holdings, Inc. (the “Company”) and Allison Transmission, Inc. (“ATI”), a wholly-owned finance subsidiary of the Company, entered into that certain Amendment No. 5 (“Amendment No. 5”) to the Credit Agreement, dated as of August 7, 2007 (the “Credit Agreement”), to extend the maturity of $300.0 million of term loan debt from August 7, 2014 to August 23, 2019. The interest rate margin applicable to such extended loans is, at ATI’s option, either (a) 3.25% above the London Interbank Offered Rate or (b) 2.25% above the greater of the prime lending rate provided by the British Banking Association or the federal funds effective rate published by the Federal Reserve Bank of New York. Interest rates are subject to a step-down of 25 basis points depending on ATI’s total leverage ratio.
