Item 2.02. Results of Operations and Financial Condition.

On February 12, 2014 Owens Corning (the “Company) issued a press release announcing its financial results for the fiscal year ended December 31, 2013.

Exhibit 99.1 contains certain financial measures that are considered “non-GAAP financial measures” as defined in Securities and Exchange Commission rules and contains the reconciliation of these non-GAAP financial measures to their most directly comparable financial measures calculated and presented in accordance with accounting principles generally accepted in the United States.

The information in Item 2.02 of this Current Report is being furnished pursuant to General Instructions B.2 of Form 8-K and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section. Item 8.01. Other Events.

The Company announced that its Board of Directors has declared a quarterly dividend of $0.16 cents per common share payable on April 3, 2014 to all common stockholders of record as of March 14, 2014. The press release that makes reference to the dividend declaration is attached as Exhibit 99.1.
