Item 8.01. Other Events.

On March 19, 2014, the Company will issue a press release announcing that it intends to raise $360 million in gross proceeds through an offering of senior unsecured notes due 2022. The net proceeds from the notes offering will be used to fund a portion of the purchase price for the Company’s previously announced proposed acquisition of ATMI, Inc.
