Item 5.02 | Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
The Compensation Committee of the Board of Directors of ConMed Corporation (the Company) has granted, effective June 1, 2014, annual awards of restricted stock units (RSUs) and stock appreciation rights (SARs) to the Companys named executive officers (NEOs) under the Companys Amended and Restated Long-Term Incentive Plan (the Plan). The 2014 annual NEO RSU and SAR grants have terms substantially similar to the terms of the Companys previously disclosed annual RSU and SAR grants, except that, upon a change in control of the Company (as defined in the Plan), the 2014 annual NEO RSUs do not automatically vest and pay-out, but are instead subject to double-trigger vesting on a termination of the NEOs employment by the Company other than for cause or by the NEO for good reason (each as defined in the award agreement) within two and one-half years following a change in control.
The above description is qualified in its entirety by reference to the terms of the Plan and the form of award agreement attached hereto as Exhibit 99.1, which are incorporated into this Item 5.02 by reference.
