PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

TerraForm Global, Inc. (“Global”) was unable to timely file its quarterly report on Form 10-Q for its second quarter ended June 30, 2015 due to technical and unexpected issues involving the software used by the registrant to file its periodic reports with the Securities Exchange Commission (the “SEC”). This quarterly report was the first periodic report required to be filed by the registrant with the SEC since its initial public offering on August 5, 2015 (the “IPO”). In the IPO, Global issued shares of its Class A common stock pursuant to a registration statement on Form S-1, as amended (File No. 333-203934), that was declared effective on July 31, 2015. Global’s Form 10-Q for the quarterly period ended June 30, 2015 was filed on the filing due date of September 14, 2015, but after the SEC’s 5:30 P.M. Eastern time filing deadline.
