Item 5.07. Submission of Matters to a Vote of Security Holders.
On December 4, 2015, the Company held its 2015 Annual Meeting of Stockholders (the Annual Meeting). At the Annual Meeting, the stockholders:
1. elected six Class II Directors nominated to serve on the Companys Board of Directors until the 2018 annual meeting of stockholders and until their successors are duly elected and qualified;
2. ratified the appointment of Ernst & Young LLP to serve as the Companys independent registered public accounting firm for the Companys fiscal year 2016;
3. approved an amendment to the Companys Bylaws naming the Delaware Court of Chancery as the exclusive forum for certain types of legal actions;
4. approved the Amended and Restated Premier, Inc. 2013 Equity Incentive Plan;
5. approved, on an advisory basis, the compensation of the Companys named executive officers as disclosed in the proxy statement for the Annual Meeting (the Proxy Statement); and
6. approved, on an advisory basis, every one year for the frequency with which stockholders will be provided future advisory votes on executive compensation.
A more complete description of each item is set forth in the Proxy Statement. The newly effective Amended and Restated Bylaws of the Company are attached hereto as Exhibit 3.2 and incorporated herein by reference.
As of the record date for the Annual Meeting, there were 37,770,215 shares of the Companys Class A common stock and 105,981,156 shares of the Companys Class B common stock issued and outstanding. However, as a result of the Class B common unit exchange process discussed in the Proxy Statement, under Frequently Asked QuestionsWhat is the Class B common unit exchange process? Will it impact the Annual Meeting?, 5,830,458 shares of Class B common stock were retired on November 2, 2015 and therefore not eligible to be voted. The 100,150,698 currently outstanding shares of Class B common stock were voted at the Annual Meeting pursuant to the Voting Trust Agreement, dated October 1, 2013, relating to shares of Class B common stock, as discussed in the Proxy Statement.
Each share of Class A common stock and Class B Common stock was entitled to one vote on each matter properly brought before the Annual Meeting. The Class A common stock and Class B common stock voted together as a class. Votes representing approximately 98.6% of the combined voting power of the Class A common stock and Class B common stock, eligible to be voted, were present in person or represented by proxy at the Annual Meeting.
