Bright Horizons Family Solutions Announces Secondary Offering of 2,115,000 Shares of Common Stock
by Selling Stockholders and Repurchase of Common Stock
WATERTOWN, Mass., May 12, 2016 Bright Horizons Family Solutions Inc. (NYSE: BFAM) (the Company) today announced that certain of its stockholders, which include certain of the Companys executive officers and directors (the Selling Stockholders), intend to offer for sale 2,115,000 shares of its common stock pursuant to the Companys shelf registration statement filed with the Securities and Exchange Commission, of which the Company intends to repurchase from the underwriter 1,000,000 shares of common stock.
The Selling Stockholders will receive all of the net proceeds from this offering. No shares are being sold by the Company.
The Companys per-share purchase price for the repurchased shares will be the same as the per-share purchase price payable by the underwriter to the Selling Stockholders. The Company intends to fund the share repurchase with cash on hand and borrowings under our revolving credit facility.
Barclays will act as underwriter for the offering.
