Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 29, 2018, the Compensation Committee of the Board of Directors of Allison Transmission Holdings, Inc. (the “Company”), approved the grant to David S. Graziosi of 292,022 performance stock units (the “Target PSUs”) under the Company’s 2015 Equity Incentive Award Plan (the “2015 Plan”). Between 0% and 200% of the Target PSUs are eligible to vest, as to 50% of the award, based on the Company’s adjusted free cash flow per share and, as to 50% of the award, based on relative total stockholder return as compared to an industry peer group, in each case, for the performance period beginning on January 1, 2018 and ending on December 31, 2020. The performance stock units that become eligible to vest will vest in equal installments on each of January 1, 2021, 2022 and 2023, subject to Mr. Graziosi’s continued employment through the applicable vesting date and accelerated vesting in connection with a qualifying termination of employment.

The 2015 Plan and the form of award agreement for performance stock units are listed as exhibits to the Company’s Annual Report on Form 10-K for the year ended December 31, 2017 filed with the Securities and Exchange Commission on February 15, 2018.
