Item 5.02 | Departure of Directors or Certain Officers; Appointment of Certain Officers. |
On March 28, 2019, David P. Boyle, Executive Vice President, Chief Financial Officer and Principal Accounting Officer of Orrstown Financial Services, Inc. (the Corporation), informed the Corporation that he does not intend to renew his employment agreement. Mr. Boyles decision is due to personal reasons and is not the result of any disagreement with the Corporation on any matter relating to the Corporations operations, policies or practices. Mr. Boyle and the Corporation have agreed to work through an orderly transition of the duties of the Chief Financial Officer over the coming months. The Corporation intends to commence a search for a new Chief Financial Officer during this time.
