His new base compensation is $520,000. His target bonus eligibility will also increase accordingly to $520,000. 70% of Mr. Nutter's potential cash bonus is solely dependent upon the achievement of stated corporate financial targets for revenue and operating income for the fiscal year 2007, with the opportunity for an over achievement payment for financial performance in excess of the targets, in accordance with a predetermined schedule approved by the Compensation Committee at the beginning of the fiscal year. 30% of Mr. Nutter's potential cash bonus is dependent on his achievement of individual performance objectives. There were no other changes to Mr. Nutter's compensation. The Board's decision considered Mr. Nutter's outstanding performance.
