Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Marc T. Tanenberg has indicated his intention to resign his position as Chief Financial Officer of APAC Customer Services, Inc. (the "Company") for personal reasons. Mr. Tanenberg has agreed to remain through the filing of the Company's annual report on Form 10-K and until a successor chief financial officer joins the Company. The Company has initiated a process to identify a successor.
