Item 8.01 Other Events.

On October 11, 2005, the Company announced that Ray J. Hillenbrand, Chairman of the Board of Hillenbrand Industries, plans to retire as Chairman in early 2006, but will remain as a member of the Board of Directors. Rolf A. Classon, interim President and Chief Executive Officer and former Vice Chairman, has been designated Chairman-elect by the Board of Directors. The press release announcing Mr. Hillenbrand's planned retirement as Chairman and the designation of Chairman-elect of Mr. Classon is filed as Exhibit 99 to this Current Report on Form 8-K. The contents of such Exhibit are incorporated herein by reference.
