Item 1.01 Entry into a Material Definitive Agreement.
The information reported in Item 2.01 of this Current Report on Form 8-K is incorporated herein by reference.
Item 2.01 Completion of Acquisition or Disposition of Assets.
On October 9, 2007, Triple Net Properties, LLC, or Triple Net Properties, the managing member of NNN Healthcare/Office REIT Advisor, LLC, or our Advisor, entered into an Agreement for Purchase and Sale of Real Property and Escrow Instructions, or the Agreement, with Northmeadow Parkway, LLC, an unaffiliated third party, or the Seller, for the purchase of Northmeadow Medical Center, located at 1357 Hembree Road, Roswell, Georgia, or the Northmeadow property, for a purchase price of $11,875,000.
On October 19, 2007, Triple Net Properties and the Seller entered into a First Amendment to Agreement for Purchase and Sale of Real Property and Escrow Instructions, or the Amendment. The material terms of the Amendment reduced the purchase price from $11,875,000 to $11,850,000.
On November 15, 2007, Triple Net Properties executed an Assignment and Assumption of Agreement for Purchase and Sale of Real Property and Escrow Instructions, or the Assignment, to assign its rights, title and interest as the buyer in the Agreement to NNN Healthcare/Office REIT Northmeadow, LLC, our wholly-owned subsidiary.
The above descriptions of the Agreement, Amendment and Assignment are qualified in their entirety by the terms of the agreements attached as Exhibits 10.1 through 10.3 to this Current Report on Form 8-K.
On November 15, 2007, we acquired the Northmeadow property from the Seller for a purchase price of $11,850,000, plus closing costs. We financed the purchase of the property with borrowings under a secured revolving line of credit (as described below in Item 2.03) with LaSalle Bank National Association, or LaSalle. An acquisition fee of $356,000, or 3.0% of the purchase price, was paid to our Advisor and its affiliate.
Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
As previously reported in the Current Report on Form 8-K we filed on September 14, 2007, we entered into a $50,000,000 secured revolving line of Credit with LaSalle, or the LaSalle line of credit. On November 15, 2007, we borrowed $12,400,000 under the LaSalle line of credit, which was applied toward the purchase of the Northmeadow property, including closing costs.
Item 7.01 Regulation FD Disclosure.
On November 20, 2007, we issued a press release announcing the acquisition of the Northmeadow property. A copy of the press release, which is hereby incorporated into this filing in its entirety, is attached to this Current Report on Form 8-K as Exhibit 99.1.
The information furnished under this Item 7.01 of this Current Report on Form 8-K, including Exhibit 99.1 shall not be deemed to be "filed" for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
