Item 4.01 Changes in Registrant's Certifying Accountant.

On February 27, 2008, the Group 1 Automotive, Inc. 401(k) Savings Plan (the "Plan") engaged UHY LLP ("UHY") as its new independent accountant for the audit for the fiscal year ending December 31, 2007. Prior to engaging UHY, the Registrant did not consult UHY regarding:

(i) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Plan's financial statements; or

(ii) any matter that was a subject of a disagreement or a reportable event.
