Item 2.02 Results of Operations and Financial Condition.

On February 11, 2009, Triple-S Management Corporation issued a press release announcing that it had delayed the release of its financial results for the fourth quarter and year ended December 31, 2008 and providing certain information regarding the Corporation’s financial performance for 2008. A copy of the related press release is being filed as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference in its entirety.
