(1) | Includes restricted share awards covering 3,400 shares of the Issuer's common stock previously awarded to the Reporting Person in an exempt transaction under SEC Rule 16b-3(d). The units will vest, and the underlying shares of the Issuer's common stock will become issuable, upon the earlier of (i) 40% of the total number of shares after the first 2 years from the date of grant, and 60% as to the total number of shares after 4 years from the date of grant, adjusted to reflect Reporting Person's leave of absence or (ii) the termination of the Reporting Person's employment by the Issuer without cause. |
